1. Visbiome Practice Advantage Program Terms & Conditions

Program Sponsor: ExeGi Pharma, LLC, owner/operator of Visbiome.com (“ExeGi,” “Visbiome,” “we,” “us,” or “our”).
These Visbiome Practice Advantage ProgramTerms & Conditions (“Terms”) govern participation by approved healthcare practices, clinics, and other professional entities (“Practice,” “you,” or “your”) in the Visbiome Practice Advantage Program(“Program”).
By applying for, enrolling in, or participating in the Program, you agree to these Terms.
ExeGi may approve, deny, or suspend any applicant or Practice from the Program at its sole discretion.
2. Practice Validation
ExeGi may validate applicants using one or more of the following:
NPI number for eligible clinicians; state or professional license number; certification body; practice website; business email domain; LinkedIn or public practice profile; sales or management review.
3. Program Options
Approved Practices may participate in one of two ways:
Patient-Savings-Only Account. The Practice receives a dedicated link, QR code, or savings code that allows eligible patients to receive applicable savings on eligible Visbiome products.
Margin-Enabled Account. Where permitted by applicable law and professional obligations, the Practice may receive Program earnings on qualifying attributed patient orders.
4. Patient Offer
Unless otherwise stated by ExeGi, eligible patients may receive 10% off their first order of eligible Visbiome human products when using the Practice’s assigned link or savings code.
ExeGi may modify, pause, replace, or discontinue the patient offer at any time.
5. Practice Earnings
For margin-enabled accounts, the Practice may earn $5 on qualifying patient orders attributed to the Practice’s assigned link or code, subject to these Terms.
No earnings are guaranteed. ExeGi may withhold, reverse, or adjust earnings for returned orders, canceled orders, fraudulent orders, duplicate attribution, self-referrals, misuse, chargebacks, payment failures, or orders that otherwise do not qualify.
6. Payouts
Payouts, where applicable, will generally be made monthly through ExeGi’s designated payment platform, such as ReferralCandy and PayPal, or another platform selected by ExeGi.
A Practice must provide complete and accurate payment information and any requested tax documentation before receiving payment. ExeGi may delay or withhold payment until required documentation is received.
Payouts will be made to the Practice entity rather than an individual clinician whenever feasible.
7. Attribution
Orders may be attributed to a Practice when a patient uses the Practice’s assigned link, QR code, or savings code on Visbiome.com.
ExeGi’s attribution records are controlling. ExeGi is not responsible for failure to attribute an order due to patient error, browser settings, expired cookies, use of another code, technical limitations, third-party platform issues, or failure to complete the order through the assigned link or code.
ExeGi may establish attribution windows, cookie periods, code rules, exclusions, and reporting logic at its discretion.
8. Patient Relationship and Patient Choice
Practices must not require patients to purchase Visbiome products through the Program.
A patient’s care, access to services, treatment recommendations, or relationship with the Practice must not be conditioned on purchasing Visbiome through a Practice link or code.
9. Required Disclosures
Practices are responsible for making all disclosures required by applicable law, professional rules, payer rules, institutional policies, and ethical obligations.
Recommended patient-facing disclosure:
“We may receive a small commission or margin if you purchase through our Visbiome link or code. You may receive a discount. You are not required to purchase through this link, and your care will not be affected.”
At minimum, a Practice participating in a margin-enabled account must clearly disclose any financial relationship with ExeGi/Visbiome when recommending or promoting Visbiome products through a link, code, QR code, website, email, handout, social media post, or other patient communication.
10. Open Payments and Reporting
If any payment, transfer of value, or other Program benefit is reportable under applicable transparency or sunshine laws, ExeGi and/or the Practice may be required to collect and report relevant information.
Practices must provide accurate information reasonably requested for compliance, tax, transparency, or reporting purposes.
11. Marketing and Promotional Use
ExeGi may provide approved Program materials, including links, QR codes, product information, website copy, patient email copy, FAQ language, postcards, handouts, badges, or other enablement materials.
Practices may use only ExeGi-approved Program materials or materials that accurately reflect ExeGi-approved claims. Practices must not alter materials in a way that creates unapproved product claims, misleading claims, disease-treatment claims, exaggerated efficacy claims, or unsupported safety claims.
12. Product Claims
Practices must not make any false, misleading, unapproved, or unsupported claims about Visbiome products.
Unless expressly approved in writing by ExeGi, Practices must not state or imply that Visbiome products diagnose, treat, cure, prevent, or mitigate any disease or medical condition.
Practices may share ExeGi-approved product information and may discuss products in a manner consistent with their professional obligations, scope of practice, and applicable law.
13. Use of Names, Logos, and Trademarks
ExeGi grants approved Practices a limited, revocable, non-exclusive, non-transferable license to use Program-provided Visbiome names, logos, links, QR codes, and promotional assets solely for participation in the Program.
Practices may not register, purchase, or use domain names, social media handles, paid search terms, advertising keywords, or business names that include or confusingly resemble “Visbiome,” “ExeGi,” or related marks without prior written approval.
Practices may not imply that they are owned by, employed by, agents of, or formally endorsed by ExeGi beyond their approved Program participation.
14. Privacy and Patient Information
ExeGi may provide Practices with limited reporting about attributed orders, such as order counts, gross sales, estimated earnings, pending payout amounts, patient savings, or other dashboard information.
Practices must use any information received through the Program only for lawful patient follow-up, Program administration, and professional purposes. Practices must not misuse, resell, disclose, or combine Program data in violation of privacy laws, patient expectations, or these Terms.
Practices are responsible for determining whether HIPAA, state privacy laws, or other privacy requirements apply to their use of patient information.
15. Patient Notice
ExeGi may notify patients that their purchase may be associated with a Practice link or code and that the Practice may be notified of certain purchase activity.
16. Fraud, Abuse, and Misuse
The following activities are prohibited:
Self-referrals intended to generate earnings; fake or duplicate orders; unauthorized coupon distribution; posting codes on public coupon sites without approval; misleading advertising; spam; paid search bidding on Visbiome trademarks without approval; incentivizing patients in a misleading manner; using the Program for non-patient commercial resale; creating false accounts; manipulating attribution; or any conduct that ExeGi determines is abusive, deceptive, noncompliant, or harmful to the Program.
ExeGi may suspend or terminate participation in the Program, withhold or reverse earnings, deactivate codes, or take other corrective action for suspected misuse.
17. No Resale or Inventory Purchasing
The Program is intended for patient purchases placed directly through Visbiome.com.
Unless separately authorized in writing by ExeGi, Practices may not use Program links or codes to purchase inventory for resale, wholesale distribution, marketplace resale, or institutional stocking.
18. Program Communications
Practices must maintain current contact information and monitor Program communications.
ExeGi may communicate Program updates, code information, payout details, disclosure reminders, dashboard access, and compliance notices by email, platform notification, or other reasonable means.
19. Modification or Termination of Program
ExeGi may modify, suspend, or terminate the Program, patient offer, eligible products, payout amount, attribution rules, Program platform, approval criteria, or these Terms at any time.
A Practice may stop participating at any time by discontinuing use of its Program link or code and notifying ExeGi.
Upon termination, the Practice must stop using Program links, codes, QR codes, badges, and promotional materials. ExeGi may deactivate the Practice’s assigned code or link.
20. Independent Clinical Judgment
Nothing in the Program is intended to influence clinical decision-making.
Practices remain solely responsible for patient evaluation, clinical recommendations, scope-of-practice compliance, informed consent, and all professional services. ExeGi does not provide medical advice through the Program.
21. Independent Contractors
The parties are independent contractors. Nothing in these Terms creates an employment, agency, franchise, joint venture, partnership, fiduciary, or legal representative relationship between ExeGi and any Practice.
The Practice has no authority to bind ExeGi or make commitments on ExeGi’s behalf.
22. Taxes
Practices are responsible for all taxes, reporting, accounting, and financial obligations arising from Program earnings.
ExeGi may require tax forms, taxpayer identification information, or other documentation before issuing payments.
23. Confidentiality
Non-public Program information, including payout mechanics, dashboard data, unpublished Program materials, validation criteria, platform workflows, and internal communications, shall be treated as confidential unless ExeGi makes such information public or authorizes disclosure in writing.
Practices must not disclose confidential Program information and use it only for Program participation.
24. No Guarantee
ExeGi does not guarantee patient purchases, Program earnings, product availability, uninterrupted platform access, attribution accuracy in every circumstance, or continued Program availability.
25. Limitation of Liability
To the maximum extent permitted by law, ExeGi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill arising from or related to the Program.
26. Indemnification
The Practice agrees to indemnify and hold harmless ExeGi, its affiliates, owners, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses, including attorneys fees and costs, arising from the Practice’s participation in the Program, violation of these Terms, failure to make required disclosures, product claims made by the Practice, misuse of patient information, violation of law, professional misconduct, or other act or omission of the Practice. This indemnification obligation shall apply to direct claims and third party claims.
27. Governing Law and Venue
These Terms shall in all respects be governed, construed and enforced in accordance with the laws of the State of Maryland. The parties agree that any action concerning these Terms must be brought in a court of competent jurisdiction in the State of Maryland. The parties hereby consent to the exclusive jurisdiction and venue of these courts and agree to accept service of process pursuant to Maryland Rules and procedures. The parties further agree that these Terms shall be deemed to have been entered into in the State of Maryland for purposes of jurisdiction.
28. WAIVER OF JURY TRIAL
THE PARTIES HEREBY EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF THESE TERMS.
